Webinar Participation Agreement
In order to participate in webinars provided by Iron Bridge Resources, LLC (“Iron Bridge”), you must agree to the terms of this Webinar Participation Agreement (“Agreement”). If you are participating in an Iron Bridge webinar in connection with your employment by, or services you are providing to, another institution or entity (each, an “Organization”), you represent and warrant that you have the appropriate authority to accept these terms and conditions on behalf of such Organization, and that such terms will be enforceable against such Organization. For the purposes of this Agreement, “webinars” are any online presentation of either recorded or live content created, licensed, or otherwise owned by Iron Bridge. “Participation” means your viewing of a webinar and, to the extent that a webinar enables you to interact in any manner with the webinar, the extent of your interaction with such webinar. “Participants” include viewers of webinars that have agreed to the terms and conditions of this Agreement. If you agree to all of the terms and conditions of this Agreement, you should click the button next to the words “I have read and understand Iron Bridge Resources’ Participation Agreement” which will be clickable after you read this agreement. If you do not accept the terms and conditions of this Agreement, you will be not be able to register for or participate in the applicable webinar. By clicking the forementioned button, you certify that you have read this entire Agreement, you and your Organization agree to all of the terms and conditions in this Agreement, that neither you or your Organization are prohibited from participating in the webinar that you are registering to participate in, and that your participation in the webinar will not result in a violation of any applicable law, regulation, rule or policy.
Participation is Limited to You Alone
Unless you are attending a webinar sponsored by your Institution or a state financial aid association for which Iron Bridge has authorized the participation of multiple participants, you must register for each webinar in which you participate and only you may view the webinar under your registration. You may not register for a webinar and share your registration with anyone else, nor may you use your registration to share the webinar with non-registrants who view the webinar with you.
If Iron Bridge discovers that you have provided access to webinars to other people, you may be barred from obtaining, or registering for, any Iron Bridge trainings of any sort. Additionally, Iron Bridge reserves the right to charge you and/or your institution for any unauthorized participant in a webinar to whom you have granted access to the webinar.
No Redistribution of Handouts
You may not share any materials provided to you as a participant of a webinar with anyone else. Materials are provided to you as a participant in the webinar and remain the property of Iron Bridge at all times.
No Recording
You may not record any portion of a webinar. All forms of recording the webinar are prohibited, including but not limited to recording the audio and/or video with an external camera or microphone or using video capture technology to capture the webinar in a file on your computer.
Cancellation and Change Policy
You may cancel your participation in a webinar in advance of the presentation of the webinar. However, payments for webinars are not refundable. You can cancel or change your webinar registration prior to the applicable webinar start date at no extra cost by emailing training@ironbridgeresources.com. The changed registration can be (i) a change of participant, such that another person, named by you, becomes the registrant in the original webinar, or (ii) a change in webinar such that you move your registration to another, later presentation of the same webinar, or (iii) a change in webinar such that you move your registration to a different webinar. You may make any of the changes noted above free of charge; except that if you change your registration to a higher cost webinar, you will be billed for the extra charge associated with the higher cost webinar.
Force Majeure
In the event that Iron Bridge is unable to provide the webinar you have registered for at the scheduled time due to circumstances beyond its control, including power or internet connectivity issues; technical issues with the webinar platform; the illness, death, or sudden unavailability for any other reasonable reason of the presenter or other webinar principals; local, state, or national emergencies; fire; explosions; vandalism; storm or other natural disaster; riots; terrorism; insurrections; war; strikes; epidemics/pandemics, or other labor difficulties or other events beyond the trainer’s control, Iron Bridge will allow you to select an alternative webinar to participate in if they choose.
In the event that you are unable to participate in the webinar at the scheduled time due to circumstances beyond your control, including for any of the specific reasons specified in the immediately preceding paragraph, Iron Bridge will allow participant to select an alternative webinar to participate in if participant so chooses.
Whether an unanticipated event prevents Iron Bridge from delivering the webinar or an unanticipated event prevents a participant from participating in the webinar, Iron Bridge will refund the participant’s registration fee upon request and upon receipt of proof from participants, if the webinar was delivered at the scheduled time, that said unanticipated event occurred.
Discount Policy
Iron Bridge has entered into agreements with several state financial aid associations (SFAAs) and higher education institutions that allow members/staff members to participate in Iron Bridge’s webinars at a discounted cost or at no cost. You must (i) check to see if your SFAA or institution has such an agreement with Iron Bridge before registering for a webinar, and (ii) use the proper process for registering for the webinar if you are entitled to a discount or free access. Iron Bridge will not refund the difference between its standard price and your SFAA’s or Institution’s discounted price if you register at the standard price but were eligible for a discount. Iron Bridge will not retroactively apply a discount should your SFAA or Institution enter into an agreement that allows its members/staff to participate in Iron Bridge’s webinars at a discount after you have registered for a webinar.
If you register for a webinar using an SFAA’s or Institution’s discount but are determined to be ineligible for the discount because you are not a member of a discount eligible SFAA or a staff member of a discount eligible Institution, you will be given the option to remedy the registration deficiency by (i) joining an SFAA that provides the discount, or (ii) paying the different between the standard price and the discounted price. Your failure to comply with subsection (i) or (ii) above will result in your registration being cancelled. If you fail to remedy the deficiency and Iron Bridge cancels your registration, your registration fee is forfeited, and Iron Bridge will not refund the registration fee to you.
Limited Warranty and Disclaimer
Webinars are provided by Iron Bridge “as is,” “with all faults” and without warranty from Iron Bridge of any kind including, without limitation, any warranty of merchantability, fitness for a particular purpose, non-infringement, or program content accuracy.
Limitation of Liability and Damages
In no event will Iron Bridge be liable to you or your Institution for any indirect, special, or consequential damages arising out of your participation in the webinar. In no event will Iron Bridge be liable to you or your Institution for any direct damages of any nature in excess of the fee paid by you for the webinar, even if Iron Bridge shall have been informed of the possibility of such damages.
Governing Law
All disputes arising from or related to this Agreement or a webinar in which you participate will be governed and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to conflict of laws principles.
Choice of Forum
All disputes arising from or related to this Agreement or a webinar in which you participate shall be adjudicated solely in the state or federal courts located in Worcester County, Massachusetts.
